On September 19, 2008, Constellation Energy Group, Inc., a Maryland corporation ("Constellation"), entered into an Agreement and Plan of Merger (the "Merger Agreement"), by and among Constellation and MidAmerican Energy Holdings Company, an Iowa corporation.
